General terms of sale
Version in force as of . This is a working translation; the French text is authoritative.
Seller and scope
These terms of sale apply to every order of a ToneID brand bible from Cécilia CLAPSON, a sole proprietor (EI) trading as UnifAIze, SIREN 819 123 183, 31 Poya du Moulin, 38880 Autrans-Méaudre en Vercors, France, email c.clapson@unifaize.app. The seller can also be reached through the website’s contact form.
They apply to consumers as well as to businesses, associations and support organisations whose billing address is in a Member State of the European Union. For another country, write to us: a quote is drawn up. Provisions specific to consumers, and those specific to businesses (article 12), are identified as such. A person ordering for a business they are preparing to start normally acts as a business.
The version of these terms accepted when ordering is the one that applies to that order.
Subject: a brand bible, digital content generated by artificial intelligence
The brand bible is digital content supplied without a physical medium: a document drafted at creation from the brand’s public information alone (the public pages of the website indicated by the customer and the measurements taken on them), delivered as PDF and HTML in the customer area. No questionnaire, data entry or approval is asked of the customer.
To observe the experience the customer’s website offers, drafting takes screenshots of the top of some of its public pages, in desktop and mobile views. These screenshots are sent to Anthropic, the language model provider, to be analysed; only the resulting observation, written as text, is used for the bible. The screenshots are not kept by the seller; at Anthropic, they follow the declared conditions described in the privacy policy.
Its main characteristics at each tier (pages read, chapters and sections drafted, sections printed “Not assessed,” score and observations, formats) are described on the Pricing page and summarised before ordering. The sample bible published on the website illustrates the structure and layout; its extracts concern a fictional brand and do not describe the result to expect for your website. What cannot be inferred from public information is not invented: the section is printed “Not assessed,” with its reason (information not public); this is not a lack of conformity. Paid bibles are written in French.
The Expert tier also includes a service: a 60-minute telephone appointment with the publisher to review the bible and set priorities, scheduled by email within 30 days of the bible being made available.
Prices
Prices in euros, per bible, as a one-time payment with no subscription: Free: free; Starter: €390; Pro: €690; Expert: €990.
VAT is not charged under Article 293 B of the French General Tax Code: the prices shown are all taxes included, which are also the prices excluding tax, and the prices paid, with no additional charges. The free bible is limited to one per account in each organisation; it is governed by the terms of use.
Concluding the contract online
Ordering a paid tier (Starter, Pro, Expert) follows these steps: (1) on the Pricing page, while signed in, you choose the tier; (2) you enter the brand, the website address and the bible language; (3) a summary shows the tier, the price all taxes included, the brand, the website, the bible language, the email address that will receive the confirmation and the payment methods; you can go back and correct the brand and the website until the final click; (4) you enter your billing address and whether you are ordering as a private individual or as a business (a business gives its company name and its SIREN or RNA number or, if established outside France, its intra-Community VAT number); (5) you accept these terms and, if you are a private individual, you choose when performance starts (article 7); (6) you click “Order with obligation to pay”; (7) you pay on Mollie’s page. The contract is concluded when payment is confirmed.
The contract is concluded in French. An order confirmation is sent to you on a durable medium at your account email address: it sets out the characteristics, the price and these terms in the version accepted, the withdrawal form and, where applicable, your consent to immediate performance (Article L221-13 of the French Consumer Code). An invoice is issued for each order and sent to you by email.
Archiving: the order, the version of the terms accepted and the invoice are kept by the seller for ten years (Article L123-22 of the French Commercial Code); you can obtain a copy on request at c.clapson@unifaize.app.
Payment
Payment is collected by Mollie B.V. (Amsterdam, Netherlands), a licensed electronic money institution, on its own secure page, using the methods it offers there. Mollie processes payment data as a data controller, under its own privacy statement. This website never receives your card details.
Drafting starts only once payment is confirmed. A payment that fails leaves the order without effect.
Supply of the bible
Drafting starts when payment is confirmed or, for a consumer who chose to wait until the withdrawal period ends, on the day after it ends (article 7). The bible is made available in the customer area, as PDF and HTML, as soon as it is complete; its page shows its status. No shorter time is guaranteed until it has been measured; failing that, the bible is supplied without undue delay and no later than thirty days after the order (Article L216-1 of the French Consumer Code).
An interrupted drafting run is restarted free of charge on a simple message quoting the bible reference; if it cannot be completed, the order is refunded in full using the payment method used.
Right of withdrawal (consumers)
Period. A consumer has fourteen days from the conclusion of the contract to withdraw, without giving a reason and at no cost (Article L221-18 of the French Consumer Code).
How to withdraw. From the order page in your workspace, through the “Withdraw from the contract here” link, available throughout the period; you receive an acknowledgment by email, with the date and time. You can also use the model withdrawal form in the annex, or any unequivocal statement sent to c.clapson@unifaize.app. The seller refunds you within fourteen days using the payment method used.
If you ask for immediate drafting. The bible is digital content supplied without a physical medium. If, when ordering, you expressly ask for drafting to start before the end of the period and acknowledge that you thereby lose your right of withdrawal, the right ends as soon as drafting starts, provided the seller has confirmed that consent to you on a durable medium (Article L221-28, 13°). This consent is collected through a separate choice with no preselected answer; it is not inferred from acceptance of these terms or from payment.
If you do not. Drafting starts on the day after the withdrawal period ends, and the bible is made available as set out in article 6.
The Expert appointment is a service. If you withdraw after asking for it to take place during the period, you owe an amount proportionate to what was provided until withdrawal (Article L221-25); the right is lost once the service has been fully performed at your express request (Article L221-28, 1°).
Businesses, associations and organisations ordering for their activity do not have this right.
Legal guarantee of conformity
Consumers benefit from the legal guarantee of conformity for digital content (Articles L224-25-1 et seq. of the French Consumer Code). The seller is liable for lack of conformity existing at the time of supply and appearing within two years of supply (Article L224-25-12); a defect appearing within twelve months is presumed to have existed at supply (Article L224-25-16).
In the event of a defect, the consumer is entitled to have the bible brought into conformity free of charge and without undue delay; failing that, to a price reduction or termination of the contract (Articles L224-25-17 to L224-25-22). Sums due are refunded within fourteen days using the payment method used (Article L224-25-23).
For all customers: a bible that does not match the tier ordered, or whose supply is incomplete, can be reported in writing to c.clapson@unifaize.app or through the contact form; it is corrected or delivered again free of charge or, failing that, the order is refunded.
Courtesy translation — the French version prevails.
The consumer has a period of two years from the supply of the digital content or digital service to obtain the implementation of the legal guarantee of conformity in the event of a lack of conformity. During a period of one year from the date of supply, the consumer is only required to establish the existence of the lack of conformity and not the date of its appearance.
The legal guarantee of conformity entails an obligation to provide all updates necessary to maintain the conformity of the digital content or digital service.
The legal guarantee of conformity gives the consumer the right to have the digital content or digital service brought into conformity without undue delay following their request, free of charge and without major inconvenience to them.
The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract and obtain a full refund against renouncing the digital content or digital service, if: 1° the trader refuses to bring the digital content or digital service into conformity; 2° bringing the digital content or digital service into conformity is delayed without justification; 3° bringing the digital content or digital service into conformity cannot be achieved without costs imposed on the consumer; 4° bringing the digital content or digital service into conformity causes a major inconvenience to the consumer; 5° the lack of conformity of the digital content or digital service persists despite the trader's unsuccessful attempt to bring it into conformity.
The consumer is also entitled to a price reduction or to terminate the contract where the lack of conformity is so serious as to justify an immediate price reduction or termination of the contract. The consumer is then not required to first request that the digital content or digital service be brought into conformity.
Where the lack of conformity is minor, the consumer is entitled to cancel the contract only if the contract does not provide for the payment of a price.
Any period during which the digital content or digital service is unavailable for the purpose of bringing it back into conformity suspends the guarantee that remained to run until the digital content or digital service is again supplied in conformity.
The rights mentioned above result from the application of Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.
A trader who, in bad faith, obstructs the implementation of the legal guarantee of conformity faces a civil fine of up to EUR 300,000, which may be increased to up to 10% of average annual turnover (Article L. 242-18-1 of the French Consumer Code).
The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the Civil Code, for a period of two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the digital content or digital service is retained, or to a full refund against renouncing the digital content or digital service.
Rights in the delivered bible
Upon receipt of full payment, the seller assigns to the customer, worldwide and for the full term of the rights, any copyright it may hold in the text of the delivered bible, for all uses, including commercial ones. A bible is drafted with the help of language models: the law may recognise no copyright in all or part of its text, and the seller does not warrant that such a right exists.
The following remain the property of their owners and are not assigned: ToneID’s method, templates, layout, checkpoint base and typefaces (under their own licence, usable within the bible as delivered); and the extracts of the customer’s website, which remain the customer’s.
The seller does not warrant that the proposed wording is unique, or available as a trademark, domain name or distinctive sign: before registering or using a name, slogan or sign, the customer carries out the necessary clearance searches.
Generated nature, accuracy, and what the bible is not
The bible is drafted automatically by a chain of language models, from the public pages of the indicated website only. It may contain errors, omissions or inaccurate wording: the customer reviews it before sharing it or handing it to a third party. Scores are not written by a model: they are computed by a fixed table from the chain’s findings; while too few checkpoints can be decided from public information, the score is printed “provisional,” with its assessment rate and range.
The bible’s observations on the customer website’s legal notice, terms or personal data are documentary findings (presence or absence of items, with the text that provides for them). They are neither legal advice nor an opinion on the website’s compliance: only a legal professional can give one.
Liability
The bible is a working document drafted from what the customer’s website publishes; it guarantees no commercial result and is not legal advice (article 10). Towards a business, the seller’s liability is limited to the price paid for the order concerned and excludes indirect loss, except in the case of gross negligence or wilful misconduct. Towards a consumer, it is incurred as provided by law.
The seller is not liable for non-performance caused by force majeure within the meaning of Article 1218 of the French Civil Code.
Clauses specific to businesses
For a business customer: the price is payable in full when ordering or, for an order placed on a quote, within thirty days of the invoice date. Any late payment automatically incurs penalties at the European Central Bank’s most recent refinancing rate plus ten percentage points, and a fixed collection fee of forty euros (Articles L441-10 and D441-5 of the French Commercial Code). The invoice shows the customer’s company name, address and, where it has them, its SIREN number and EU VAT number. These terms are provided on a durable medium to any business buyer who asks for them (Article L441-1).
A business established in a Member State other than France gives its intra-Community VAT number when ordering; the seller has it verified with the European Commission’s VIES service. Once the number is verified, the invoice is issued without French VAT, marked “Reverse charge”; until then the invoice is held back and the price paid does not change (VAT is not charged under Article 293 B of the French General Tax Code).
Personal data
Data needed for the order is processed as described in the privacy policy published on the website.
Complaints and mediation
Complaints are sent in writing to c.clapson@unifaize.app or through the contact form, with the order reference; the seller replies within 3 business days.
After a written complaint that has not been resolved, a consumer may refer the matter free of charge to the consumer mediator (Articles L612-1 et seq. of the French Consumer Code). A consumer mediator will be appointed shortly. They may also bring proceedings before the competent court at any time.
Governing law and disputes
These terms are governed by French law, without depriving a consumer of the protection of the mandatory provisions of the law of their country of residence. Between businesses, any dispute falls within the jurisdiction of the Grenoble Judicial Court (tribunal judiciaire de Grenoble). A consumer may bring proceedings before the court of the place where they lived when the contract was concluded.
